Board of Directors
The Greater Menomonie Area Chamber of Commerce (the “Chamber”) is organized to advance the general welfare and prosperity of the Greater Menomonie Area so that its citizens and all areas of its business community shall prosper. All necessary means of promotion shall be provided and particular attention and emphasis shall be given to the economic, civil, commercial, industrial, recreational, and educational interests of the area.
The Greater Menomonie Area or Menomonie economic region shall include the county of Dunn and the surrounding area.
Any person, association, corporation, partnership, or estate having an interest in the objectives of the organization shall be eligible to apply for membership.
Composition of the Board:
The Board of Directors shall be composed of at least twelve (12) and no more than fifteen (15) members. Each year, new directors shall be elected annually to serve a three year term. Up to three (3) additional members in good standing may be elected to serve a one-year term on the Board of Directors. One of the directors elected for a one year term shall be the President of the Chamber Ambassadors and another of the directors shall be the President of the Menomonie Area Young Professionals.
The Board of Directors shall also include ad hoc non-voting members comprised of representatives of the Dunn County Economic Development Corporation, Main Street of Menomonie, Inc, Menomonie School District, City of Menomonie, Dunn County, and UW Stout.
A. The Executive Committee shall act for and on behalf of the Board of Directors when the Board is not in session, but shall be accountable to the Board for its action. It shall be composed of the President, Past President, President-Elect, Secretary-Treasurer, two members of the Board of Directors selected at-large and the Chief Executive Officer. The President will serve as chairperson. All actions by the Executive Committee shall require a simple majority vote for approval.
B. The Executive Committee shall evaluate the performance of the Chief Executive Officer in writing at least once annually. The evaluation shall be brought to the Board of Directors at least thirty (30) days prior to the anniversary date of employment of the Chief Executive Officer for review and approval.
Duties of Officers:
A. President. The President shall serve as the chairman of the Board of the Chamber of Commerce and shall preside at all meetings of the membership, Board of Directors and Executive Committee. The President shall, with advice and counsel of the Chief Executive Officer, determine all committees, select all chairpersons, and assist in the selection of committee personnel, subject to approval of the Board of Directors.
B. President-elect. The President-elect shall automatically become President upon the expiration of the President's term of office.
C. In the absence of the President or in the event of inability or refusal to act, the President-elect shall perform the duties of President, and, when so acting, shall have all the powers of and be subject to all the restrictions upon the President.
D. Secretary-Treasurer. The Secretary Treasurer shall be responsible for the safeguarding of all funds received by the Chamber and for their proper disbursement. Such funds shall be kept on deposit in financial institutions approved by the Board of Directors. Checks shall be signed by the Executive Director and the Secretary-Treasurer. In the absence of the Executive Director and/or the Secretary-treasurer checks shall be signed by any two (2) officers.
E. Past President. The President shall automatically become the Past President at the end of his/her term as President. The Past President shall provide advisory activities and hold full voting rights on the Board of Directors. The Past President is eligible to become a member of the Past Presidents’ Club.
